1. INTRODUCTION AND ACCEPTANCE OF TERMS

These General Terms of Use (“Terms” or “Agreement”) govern your access to and use of the Growcycle website, applications, and all related tools, content, analytics, communications features, monitoring services, directories, and functionalities (collectively, the “Platform”) operated by Growcycle Group, LLC, a Nevada limited liability company (“Growcycle,” “we,” “us,” or “our”).

These Terms apply to all visitors, Customers, Suppliers, Service Professionals, and other users of the Platform (“Users”). Additional terms, including the Growcycle Pro Services Terms, may apply to Service Professionals and Suppliers, and are incorporated by reference when relevant.

By creating an account, accessing, or using the Platform, you acknowledge and agree that:

1. You have read and understood these Terms;
2. You agree to be legally bound by these Terms and all incorporated documents;
3. You consent to receiving electronic communications from Growcycle;
4. You consent to the use of your information as described in the Growcycle Privacy Policy; and
5. You consent to binding individual arbitration, and waive the right to a jury trial or to participate in a class action (see Section 20).

If you do not agree to these Terms, you must not use the Platform.

Growcycle may update or modify these Terms from time to time. Continued use of the Platform after updates become effective constitutes your acceptance of the updated Terms.

2. DEFINITIONS

For the purposes of these Terms, the following definitions apply:

“Account”

A User profile registered on the Platform, including Customer Accounts, Service Professional Accounts, and Supplier Accounts.

“AI-Assisted Features”

Any automated tools, estimators, summaries, recommendations, or insights generated partially or fully through machine-learning or algorithmic processes provided through the Platform.

“Customer”

Any User who uses the Platform primarily to search for, request, review, or hire Service Professionals, purchase products, or access Growcycle services such as TurfWatch.

“External Services”

Third-party tools, integrations, software, analytics providers, mapping services, identity verification partners, payment processors, communication services, or other external resources accessible through or used by the Platform.

“Growcycle Content”

All content made available by Growcycle, including software, designs, layouts, code, text, graphics, data, analytics, trademarked elements, and proprietary materials.

“Marketplace Payments”

Any payment-related functions made available on the Platform, whether powered by Growcycle or by third-party payment processors.

“Platform”

All websites, applications, features, directories, analytics tools, communication systems, and services offered by Growcycle.

“Pro Services Terms”

The additional agreement governing Service Professionals and other commercial Users, which supplements and is incorporated into these Terms.

“Service Professional”

A User who offers or provides services, estimates, or professional work to Customers through or in connection with the Platform.

“Supplier”

A vendor, manufacturer, distributor, or brand partner that promotes products or content on the Platform (including advertisement placements).

“Supplier Promotional Content”

Marketing assets, product materials, photographs, videos, brand descriptions, and related items supplied by a Supplier for use on the Platform.

“TurfWatch”

A Growcycle-provided monitoring, reporting, and informational service offering property-specific insights, observations, and related analytics. TurfWatch is available to Customers and Service Professionals, but Professional-specific obligations are governed exclusively by the Pro Services Terms.

“User Content”

Any content submitted, uploaded, posted, or transmitted by Users, including reviews, photographs, business descriptions, service listings, messages, videos, and related information.

3. CHANGES TO THESE TERMS

Growcycle may modify or update these Terms at any time. Unless otherwise stated, changes take effect 30 days after posting on the Platform or after notifying Users.

Growcycle may implement modifications sooner when required by law or for Platform security.

If you do not agree to the updated Terms, you must discontinue use of the Platform. Your continued use after the effective date constitutes acceptance of the new Terms.

4. ELIGIBILITY; AUTHORIZATION; BUSINESS USE

4.1 Age Requirements

The Platform is intended for individuals 18 years or older or the age of majority in their jurisdiction.

4.2 Business Use

If you create or access the Platform on behalf of a business or organization, you represent and warrant that:

• You are authorized to bind that entity;
• Your acceptance of these Terms constitutes acceptance on behalf of the entity; and
• All actions taken under your account are deemed actions of the entity.

4.3 Geographic Restrictions

Growcycle operates from the United States. Use outside the U.S. is at your own risk. You consent to having your data transferred and processed in the United States.

5. USER ACCOUNTS

5.1 Registration Requirements

To use certain Platform features, you may need to create an Account and provide accurate and complete registration information.

5.2 Accuracy & Updates

You agree to maintain accurate, current information in your Account profile.

5.3 Account Security

You are responsible for:

• Controlling access to your login credentials;
• All actions taken under your Account;
• Promptly notifying Growcycle of any unauthorized use.

Growcycle is not liable for losses arising from compromised credentials.

5.4 Customer, Service Professional, and Supplier Accounts

Different Account types may have different features. Service Professionals and Suppliers are subject to the Pro Services Terms, which supplement and prevail over conflicting provisions.

5.5 Identity Verification

Growcycle may, but is not obligated to, use External Services to verify identity, professional licensing, or legitimacy of information.

Growcycle does not guarantee the accuracy, completeness, or reliability of any verification.

5.6 Account Suspension or Termination

Growcycle may suspend, restrict, or terminate any Account if:

• Suspicious activity is detected;
• These Terms are violated;
• Fraud is suspected;
• Compliance or legal concerns arise.

SECTION 2 — GROWCYCLE’S ROLE, USER CONDUCT, CONTENT, AND INTELLECTUAL PROPERTY

6. GROWCYCLE’S ROLE

Growcycle operates a Platform that enables Users to:

• View, research, and contact Service Professionals;
• Access informational tools such as TurfWatch;
• Submit and view reviews;
• Communicate through select Platform features;
• Access listings, promotional content, and related materials from Suppliers;
• Use external tools or third-party integrations facilitated by Growcycle.

6.1 Marketplace Platform Only

Growcycle is not a service provider, contractor, employer, broker, insurer, or agent of any User. Growcycle:

• Does not supervise or control Service Professionals or Suppliers;
• Does not guarantee service quality, safety, or legality;
• Does not provide, deliver, or warrant any services performed by Service Professionals;
• Is not a party to agreements between Users.

6.2 No Endorsement or Verification

Growcycle may allow Service Professionals or Suppliers to display certain credentials, badges, or profile details, but this:

• Does not constitute an endorsement;
• Does not guarantee accuracy;
• Does not replace independent due diligence by Users.

Any identity verification or background checks (where applicable) are limited and not guaranteed. Users remain solely responsible for verifying qualifications, licensing, insurance, and suitability.

6.3 External Services and Integrations

The Platform may link to or integrate with third-party services (“External Services”), including:

• Payment processors;
• Data providers;
• Mapping services;
• Measurement tools;
• Insurance partners;
• Communication integrations;
• AI-assisted features;
• Other software or equipment vendors.

Growcycle does not control and is not responsible for:

• The availability, accuracy, performance, or security of External Services;
• Any damages or issues arising from External Services;
• Any products or services provided by third parties.

Your use of External Services is governed by their respective terms and policies.

6.4 Release from Third-Party Disputes

Growcycle is not responsible for disputes between Users. You release Growcycle from claims, demands, and damages arising from disputes with:

• Service Professionals;
• Customers;
• Suppliers;
• External Services providers.

This includes disputes regarding service quality, payments, scheduling, communications, and performance.

7. USER CONDUCT

Users agree to use the Platform responsibly and lawfully. The following conduct is strictly prohibited.

7.1 Misrepresentation & Fraud

You may not:

• Provide false, misleading, or incomplete information;
• Misrepresent your identity, credentials, or affiliations;
• Impersonate another person or entity;
• Create multiple accounts to evade restrictions.

7.2 Interference with the Platform

You may not:

• Access or attempt to access areas of the Platform not intended for you;
• Interfere with or disrupt Platform functionality or servers;
• Introduce malware, bots, scraping tools, or automated systems;
• Engage in crawling, scraping, or harvesting data without permission.

7.3 Prohibited Commercial Activities

You may not:

• Circumvent Growcycle’s payments or fees;
• Use the Platform for lead-generation outside the permitted workflows;
• Resell Platform data or content;
• Conduct unauthorized advertising, promotions, or solicitations.

7.4 Harmful or Illegal Conduct

You may not upload, post, or transmit:

• Threatening, abusive, or harassing content;
• Hate speech or discriminatory materials;
• Pornographic, violent, or obscene content;
• Content that infringes intellectual property rights;
• Personal data of others without consent.

7.5 Security Violations

You may not:

• Access accounts other than your own;
• Attempt to bypass security controls;
• Probe, scan, or test system vulnerabilities.

7.6 Enforcement

Growcycle may, at its sole discretion:

• Remove content;
• Suspend or terminate Accounts;
• Limit access to features;
• Take legal or technical action to enforce these Terms.

8. CONTENT OWNERSHIP, LICENSES, AND INTELLECTUAL PROPERTY

8.1 Growcycle Content

Growcycle and its licensors retain all ownership rights in:

• Software, interfaces, and code;
• Platform architecture and data structures;
• All Growcycle-authored content;
• Trademarks, logos, trade dress;
• Designs, documentation, graphics, and layout.

Growcycle grants Users a limited, revocable, non-exclusive, non-transferable license to use the Platform solely for lawful and permitted purposes.

Users may not copy, modify, distribute, reverse-engineer, or create derivative works of Growcycle Content.

8.2 User Content (License Granted to Growcycle)

Users retain ownership of User Content but grant Growcycle a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to:

• Use, reproduce, display, distribute, modify, adapt, and publish User Content;
• Create derivative works;
• Use such content in connection with operating, improving, or promoting the Platform;
• Make User Content available to other Users per Platform functionality.

You represent and warrant that:

• You own or control the rights to your User Content;
• Your User Content does not violate any law or third-party rights.

Growcycle is not responsible for monitoring User Content but may remove or restrict content at any time.

8.3 Supplier Promotional Content 

8.3.1 Assignment & License

By submitting Supplier Promotional Content, the Supplier grants Growcycle:

• A perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, display, distribute, modify, and publish such materials;
• The right to continue using such content even after termination, solely as needed to maintain historical accuracy or previously published materials;
• The right to use such materials for:
• advertising;
• marketing;
• product placement;
• internal testing;
• public relations;
• content syndication.

Suppliers also grant Growcycle the right to create derivative works and translations of Supplier Promotional Content.

8.3.2 Representations

Suppliers represent and warrant that:

• They own or control all rights in the materials provided;
• No third-party permissions are required beyond those granted to Growcycle;
• Materials do not infringe or violate third-party rights.

8.3.3 Survival

This section survives termination of any Supplier’s account.

8.4 Reviews and Ratings

Users may post reviews or ratings. You agree not to:

• Post false, deceptive, or malicious reviews;
• Manipulate ratings;
• Engage in review fraud or incentivized reviews.

Growcycle may remove reviews at its discretion.

8.5 Feedback

Any suggestions, ideas, recommendations, or improvements submitted to Growcycle (“Feedback”) may be used without restriction.

You hereby assign all rights in Feedback to Growcycle.

8.6 Reservation of Rights

Growcycle retains all rights not expressly granted in these Terms. Unauthorized use constitutes a breach and may result in termination and legal action.

SECTION 3 — SERVICE PROFESSIONALS, SUPPLIERS, TURFWATCH, AI DISCLAIMERS, COMMUNICATIONS TRACKING, AND PAYMENTS

9. SERVICE PROFESSIONALS (GENERAL TERMS)

(This section is the umbrella that the Pro Services Terms plug into. It does NOT restate the Pro Terms but establishes the legal framework for cross-reference.)

9.1 Overview

Service Professionals (“Pros”) are independent providers who offer services to Customers. These General Terms apply to all Users, including Pros, and Pros are additionally bound by the Growcycle Pro Services Terms (“Pro Terms”), which govern:

• Professional conduct standards
• Licensing and insurance obligations
• Marketplace Payments
• AI features used by Pros
• Communication tools used by Pros
• Fee-based features and subscriptions
• Phone numbers, messaging, or telecom provisions
• Tracking and analytics
• Operational responsibilities

Where a conflict exists between these General Terms and the Pro Terms, the Pro Terms control for all matters relating to services offered by Pros.

9.2 Independent Contractor Relationship

Service Professionals acknowledge and agree that:

• They are independent contractors, not employees, partners, joint venturers, franchisees, or agents of Growcycle.
• Growcycle does not supervise, monitor, direct, or control how Pros perform services.
• Pros are solely responsible for setting their own prices, schedules, staffing, tools, equipment, and methods.
• Pros assume all liability for services offered to Customers.

Growcycle does not guarantee any job leads, revenue, volume, visibility, or business results.

9.3 Licensing, Insurance, and Legal Compliance

Service Professionals are solely responsible for:

• Holding and maintaining all required licenses, certifications, and registrations;
• Maintaining appropriate insurance coverage;
• Complying with all local, state, and federal laws;
• Ensuring employees or subcontractors also comply with applicable requirements.

Growcycle may—but is not required to—request proof of licensing or insurance.

9.4 Representations and Warranties by Service Professionals

By using the Platform as a Service Professional, you represent and warrant that:

• All information you provide is accurate and not misleading;
• You are legally authorized to perform the services you offer;
• You will perform services with professional skill, due care, and quality;
• You are responsible for the actions and omissions of your employees, subcontractors, or agents.

Growcycle may remove a Professional’s listing or suspend their account for inaccuracies, complaints, or legal concerns.

9.5 Professional Listings, Profiles & Content

Service Professionals are responsible for:

• The accuracy of their service listings;
• All claims, pricing, and marketing statements;
• Updating listings when information changes;
• Ensuring all photos, descriptions, and statements are lawful and non-infringing.

Growcycle may modify, remove, or adjust listings to preserve user experience or comply with legal obligations.

9.6 Background Checks (Where Applicable)

Growcycle may offer or require background checks in some markets but:

• Does not guarantee a check was performed on any Professional;
• Does not guarantee the accuracy or completeness of any check;
• Does not assume responsibility for verifying a Professional’s identity or history.

Background checks do not replace independent verification by Customers.

9.7 No Guarantees or Endorsements

Growcycle does not guarantee:

• The accuracy of Professional listings;
• That a Professional is qualified, insured, licensed, or trustworthy;
• That a Professional will complete any work or perform to a certain standard.

Growcycle is not responsible for the acts or omissions of Service Professionals.

10. TURFWATCH (GENERAL USER TERMS)

(TW-2 model: available to Customers and Pros, but Pro-specific rules exist only in the Pro Terms)

10.1 Overview

TurfWatch is a Growcycle-provided monitoring and informational service that offers:

• Property observations
• Environmental insights
• Condition reports
• Seasonal or situational recommendations
• Other non-professional informational signals

TurfWatch does not provide professional landscaping, maintenance, or safety advice and must not be relied upon as such.

10.2 Limitations & Disclaimers

Users understand and agree that:

• TurfWatch data may be incomplete, delayed, or contain inaccuracies;
• Observations may be produced through automated systems, third-party data feeds, or AI-assisted processes;
• TurfWatch should be used as a general informational tool only;
• Users are responsible for verifying information independently.

Growcycle makes no guarantees regarding the accuracy, completeness, availability, or fitness for any particular purpose of TurfWatch data or insights.

10.3 Availability to Users

TurfWatch may be made available to:

• Customers for informational use;
• Service Professionals for informational use under these General Terms;
• Service Professionals for operational or commercial use under the Pro Services Terms.

Pro-level access is governed by the Pro Terms and may include subscription-based features.

10.4 Data Use

TurfWatch may involve:

• On-site or remote observations;
• Photo or image uploads by Users;
• Automated tagging or classification;
• Property-specific data;
• Historical condition records;
• AI-assisted summaries (see Section 11).

Users consent to the processing, storage, and use of such data in accordance with the Privacy Policy.

10.5 Cancellation and Suspension

Growcycle may suspend or discontinue TurfWatch:

• For maintenance;
• Due to technical issues;
• For legal or compliance reasons;
• For misuse or violation of these Terms.

Subscriptions are governed by Section 13.

11. AI-ASSISTED TOOLS & AI DISCLAIMERS

Growcycle may offer AI-driven or automated features, such as:

• AI-generated summaries of messages or calls;
• AI-generated recommendations or observations;
• Predictive insights;
• Automated text suggestions;
• AI-assisted data classification or tagging;
• Automated flagging or monitoring tools.

11.1 No Professional Advice

AI features do not constitute:

• Legal advice
• Safety or hazard assessments
• Technical recommendations
• Professional instructions
• Guarantees of accuracy

Users must independently validate all AI-generated content.

11.2 Accuracy Limitations

Users acknowledge that AI outputs:

• May be incorrect, incomplete, or misleading;
• May misinterpret or misclassify information;
• Should be used only as supplemental informational tools;
• May be based on limited or incomplete data available to the system.

Growcycle is not liable for:

• Errors in AI-generated outputs;
• Decisions made based on AI output;
• Consequences of relying on AI tools.

11.3 User Responsibilities

Users must:

• Evaluate AI-generated information independently;
• Not rely solely on automated outputs to make decisions;
• Exercise reasonable judgment;
• Report inaccurate outputs to Growcycle for improvement.

11.4 Improvement & Model Training

Growcycle may use:

• User-submitted data
• Communications
• Uploaded photos
• TurfWatch-related data

to improve AI models in accordance with the Privacy Policy.

Growcycle will not use identifiable content for external model training without proper rights or authorization.

12. COMMUNICATIONS TRACKING & RECORDING

12.1 Tracking Numbers

The Platform may use tracking phone numbers for:

• Analytics
• Call routing
• Call logging
• Call summaries
• Service performance measurement

Users consent to the use of such numbers when communicating through the Platform.

12.2 Call Recording and Transcription

If Users place or receive calls through Growcycle systems, those calls may be:

• Recorded
• Transcribed
• Analyzed
• Summarized

Users consent to:

• Recording, transcription, storage, and analysis of such calls;
• Use of call data for quality control, analytics, support, or service improvements.

Users must comply with their own jurisdiction’s call recording laws and are solely responsible for providing notices to other call participants when required.

12.3 SMS and Messaging

The Platform may:

• Route SMS communications;
• Store message content;
• Generate automated or AI-assisted summaries;
• Track delivery or engagement metrics.

Users consent to the processing of messaging data.

12.4 Accuracy Disclaimer

Growcycle does not guarantee:

• Accuracy of call transcriptions;
• Accuracy of summaries;
• Delivery of SMS or messages;
• Availability of communication features.

12.5 Misuse

Growcycle may suspend any User who:

• Harasses other Users;
• Uses messaging or calls for unsolicited marketing;
• Violates privacy or telecom laws;
• Misuses tracking numbers or call systems.

13. PAYMENTS, BILLING, AND FEES

(This section includes the “YES” options you selected: chargebacks, refund responsibility, payment processor independence, etc.)

13.1 Fees

Growcycle may charge:

• Subscription fees
• Listing fees
• Marketplace Payment fees
• Promotional fees
• Service or transaction fees
• Other charges disclosed within the Platform

Fees may be one-time, recurring, or usage-based.

13.2 Automatic Renewal

Subscriptions automatically renew unless canceled. By subscribing, Users authorize:

• Recurring charges
• Charges to stored payment methods
• Charges for taxes or surcharges

Users may cancel through account settings or by contacting Growcycle support.

13.3 Payment Methods

Users authorize Growcycle and its payment processor(s) to:

• Charge any payment method on file
• Update expired cards using network updater services
• Retry failed payments

Users are responsible for maintaining accurate billing information.

13.4 Marketplace Payments (General)

Growcycle facilitates payments between Customers and Service Professionals but:

• Is not a bank or escrow agent;
• Does not guarantee receipt or timing of funds;
• Is not responsible for billing disputes between Users.

Payments may be processed by third-party providers.

13.5 Chargebacks & Reversals

Customers agree that:

• Chargebacks are processed by third-party payment processors;
• Growcycle is not liable for chargeback outcomes;
• Refunds are issued solely at the discretion of the Service Professional unless otherwise required by law.

Growcycle may:

• Suspend accounts associated with excessive disputes;
• Charge recovery or administrative fees.

13.6 Refunds

Unless explicitly stated:

• Fees paid to Growcycle are non-refundable;
• Growcycle is not responsible for refunds between Users;
• Marketplace Payments are final except as required by law.

13.7 Taxes

Users are solely responsible for:

• All applicable taxes arising from their activities;
• Reporting and remitting taxes to authorities.

Growcycle may collect and remit taxes where legally required.

13.8 Payment Processor Independence

Payment processing is provided by External Services. Growcycle is not responsible for:

• Processor outages
• Delays
• Errors
• Unauthorized transactions
• Refund failures
• Financial loss due to processor issues

Users agree to hold Growcycle harmless from such issues.

SECTION 4 — DISCLAIMERS, LIABILITY, INDEMNITY, TERMINATION, GOVERNING LAW, ARBITRATION, AND MISCELLANEOUS

14. USER DISPUTES

14.1 Growcycle Not a Party to User Agreements

Growcycle is not a party to any agreements between:

• Customers and Service Professionals
• Customers and Suppliers
• Service Professionals and Suppliers
• Users and External Service providers

Growcycle does not:

• Mediate disputes
• Guarantee the performance of any party
• Control pricing, deliverables, quality, or service outcomes

14.2 User Responsibility

Users agree to resolve disputes directly with the other party. Growcycle may, at its discretion, provide limited assistance (such as forwarding communications), but has no obligation to intervene.

14.3 Release of Claims

To the maximum extent permitted by law, you release Growcycle from all claims arising from disputes with other Users.

15. THIRD-PARTY SERVICES & INTEGRATIONS

15.1 Use at Your Own Risk

External Services accessed through the Platform are provided by third parties. Use of these services is at your own risk.

15.2 Third-Party Terms Apply

Your access to External Services is governed by the provider’s terms and policies, which may include:

• Payment terms
• Data processing terms
• Liability limitations
• Service-specific rules

Growcycle is not responsible for ensuring compliance with those terms.

15.3 No Liability for Third-Party Failures

Growcycle is not liable for:

• Outages
• Security incidents
• Errors
• Delays
• Loss of data
• Billing issues
• Incorrect or missing information
• Decisions or actions taken by External Service providers

16. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by law:

16.1 Platform Provided “As Is”

The Platform, Growcycle Content, AI-Assisted Features, TurfWatch, communication tools, analytics, and all other features are provided “AS IS” and “AS AVAILABLE”, without warranties of any kind.

16.2 No Guarantees

Growcycle does not warrant that:

• The Platform will be uninterrupted or error-free
• AI outputs will be accurate or reliable
• TurfWatch data will be precise or complete
• User Content or information is current or correct
• Communications will be delivered without delay
• External Services will operate without issues
• Service Professionals or Suppliers are qualified or trustworthy
• Estimates, recommendations, or analytics will be correct

16.3 No Professional Advice

Nothing on the Platform constitutes:

• Legal advice
• Financial advice
• Safety guidance
• Engineering or technical recommendations
• Professional services of any kind

Users must conduct independent verification and due diligence.

16.4 No Responsibility for User Content

Growcycle is not responsible for:

• User-submitted content
• Listings, claims, pricing, or representations
• Reviews, ratings, or feedback
• Messages or communications between Users

17. LIMITATION OF LIABILITY

(This is one of the strongest legal shields in the entire agreement.)

To the fullest extent permitted by law:

17.1 No Liability for Indirect or Special Damages

Growcycle is not liable for:

• Lost profits
• Lost data
• Loss of business or opportunities
• Service downtime
• Communication failures
• Inaccurate AI-generated outputs
• Inaccurate TurfWatch data
• Errors in listings or User Content
• Disputes between Users
• Costs of substitute services
• Consequential, incidental, punitive, or special damages

17.2 Maximum Liability Cap

In all cases, Growcycle’s total liability arising out of or relating to the Platform is limited to the greater of:

1. The amount you paid to Growcycle in the preceding six (6) months, or
2. Fifty U.S. Dollars (USD $50).

This limitation applies even if Growcycle knew of the possibility of damages.

17.3 Exceptions Where Not Allowed by Law

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of incidental damages. In those jurisdictions, Growcycle’s liability is limited to the maximum extent permitted by law.

18. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Growcycle, its officers, directors, employees, partners, affiliates, successors, and service providers from and against all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney’s fees) arising from:

• Your use of the Platform
• Your services or products
• Your User Content
• Your breach of these Terms
• Your violation of law
• Your interactions or disputes with other Users
• Your misuse of AI features or TurfWatch
• Your actions as a Service Professional or Supplier
• Claims arising from your employees, contractors, or agents
• Any content or materials you provide to Growcycle

This obligation survives termination of your account.

19. SUSPENSION, TERMINATION & ACCOUNT CLOSURE

19.1 By Growcycle

Growcycle may suspend or terminate your access, with or without notice, if:

• You violate these Terms
• You engage in fraud or illegal conduct
• You misuse the Platform
• Your actions pose risk to others
• Required by law or compliance obligations
• You fail to pay required fees
• Excessive chargebacks or disputes occur
• Your activity harms Platform integrity

Growcycle is not required to disclose the reason for termination.

19.2 By User

Users may delete their accounts at any time. Upon termination:

• Access to your account ends
• Certain content may remain on the Platform (e.g., reviews, public posts)
• Growcycle may retain data as required by law
• Fees already paid are non-refundable unless required by law

19.3 Effect of Termination

The following survive termination:

• Intellectual property rights
• AI & communication disclaimers
• Supplier Promotional Content licenses
• Indemnification
• Limitations of liability
• Arbitration
• Governing law
• Payment obligations incurred before termination

20. GOVERNING LAW (NEVADA) & VENUE

These Terms are governed by the laws of the State of Nevada, without regard to conflicts of law principles.

For any claim not subject to arbitration:

• Exclusive jurisdiction lies in the state and federal courts of Las Vegas, Nevada.
• Users consent to personal jurisdiction in Nevada.

21. BINDING ARBITRATION (JAMS — LAS VEGAS)

(This protects Growcycle from class actions and long litigation.)

21.1 Agreement to Arbitrate

You and Growcycle agree to resolve any disputes through binding individual arbitration, not court.

Exceptions:

• Small claims court
• Claims involving Growcycle’s intellectual property rights

21.2 Arbitration Rules

Arbitration will be conducted by JAMS under the JAMS Comprehensive Arbitration Rules, with:

• A single arbitrator
• Arbitration seated in Las Vegas, Nevada
• Arbitrator experienced in SaaS, technology, or commercial matters

21.3 No Class Actions

Users agree:

• No class, collective, or representative actions;
• Arbitration must be on an individual basis only;
• Claims may not be consolidated.

21.4 Fees and Costs

The arbitrator may award:

• Attorney’s fees
• Arbitration costs
• Any other relief permitted by law

21.5 Opt-Out

Users may opt out of arbitration within 30 days of first accepting these Terms by emailing:

Opt-out requests must include:

• Name
• Account email
• Explicit request to opt out of arbitration

22. MISCELLANEOUS

22.1 Entire Agreement

These Terms, the Privacy Policy, and the Pro Services Terms constitute the entire agreement between you and Growcycle.

22.2 Severability

If any part of these Terms is found unenforceable, the remainder remains in full force.

22.3 No Waiver

Failure to enforce any provision does not constitute a waiver.

22.4 Assignment

Growcycle may assign these Terms without restriction. Users may not assign rights or obligations without Growcycle’s written consent.

22.5 Force Majeure

Growcycle is not liable for delays or failures caused by:

• Natural disasters
• War or terrorism
• Labor disruptions
• External network failures
• System outages
• Government actions
• Any events beyond reasonable control

22.6 Notices

Growcycle may provide notices via:

• Email
• Platform notifications
• Website postings

Users must keep account information current.
